1. Acceptance of Terms

By accessing and using Ghost Clip ("the Platform"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Platform.

2. Description of Service

Ghost Clip is a marketplace platform that connects brands and founders ("Founders") with content creators and influencers ("Creators") for authentic product promotion and marketing campaigns.

The Platform facilitates:

• Campaign creation and management
• Creator discovery and browsing
• Application and collaboration workflows
• Messaging between Founders and Creators
• Secure payment processing via Stripe
• Content submission and approval

3. User Accounts

3.1 Registration

To use certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Types

Users may register as either a Founder or Creator. Each account type has different rights and responsibilities as outlined in these Terms.

4. User Conduct

You agree NOT to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Post false, misleading, or fraudulent content
• Engage in harassment, abuse, or hate speech
• Attempt to gain unauthorized access to the Platform
• Interfere with or disrupt the Platform's operation
• Use automated systems to scrape or extract data
• Circumvent payment processing or fees

5. Payments and Fees

5.1 Platform Fees

Ghost Clip charges a service fee on each completed transaction. The fee structure will be clearly disclosed during campaign creation.

5.2 Payment Processing

All payments are processed through Stripe. By using the Platform, you agree to Stripe's Terms of Service and Privacy Policy. Ghost Clip does not store credit card information.

5.3 Escrow System

Campaign funds are held in escrow until content is submitted and approved by the Founder. Upon approval, funds are released to the Creator minus applicable fees.

5.4 Taxes

Users are responsible for determining and paying any applicable taxes on their transactions. Ghost Clip does not provide tax advice.

6. Content and Intellectual Property

6.1 User Content

You retain ownership of content you create and submit through the Platform. However, by submitting content, you grant Ghost Clip a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content for the purpose of operating and promoting the Platform.

6.2 Campaign Content Rights

Rights to content created for campaigns are governed by individual agreements between Founders and Creators. Ghost Clip is not party to these agreements.

6.3 Platform Content

Ghost Clip owns all rights to the Platform's design, features, functionality, and branding. You may not copy, modify, or reverse engineer any part of the Platform.

7. Disputes and Resolutions

7.1 Between Users

Disputes between Founders and Creators should first be resolved directly between parties. Ghost Clip may provide mediation services but is not obligated to intervene in user disputes.

7.2 Chargebacks

In case of payment disputes or chargebacks, Ghost Clip reserves the right to suspend accounts and withhold funds pending resolution.

8. Disclaimers and Limitation of Liability

8.1 "As Is" Service

The Platform is provided "as is" without warranties of any kind, either express or implied. Ghost Clip does not guarantee uninterrupted or error-free operation.

8.2 User Verification

Ghost Clip does not verify the identity or credentials of all users. You interact with other users at your own risk.

8.3 Limitation of Liability

To the maximum extent permitted by law, Ghost Clip shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

9. Termination

Ghost Clip reserves the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Platform will immediately cease.

10. Changes to Terms

Ghost Clip reserves the right to modify these Terms at any time. We will notify users of material changes via email or Platform notification. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.
